Terms of Use

The Terms of Use regulates your use the website located at Innovate Belarus (the “Website”). By using the Website (unless you are reading the Terms of Use), you agree to the Terms of Use.  

The following terms are used in The Terms of Use: 

      – Ecosystem – the system of interaction between users on the Website. 

      – Ecosystem Player – a user of the Website registered as one of the following: 

  • Startup  
  • Investor 
  • Sponsor  
  • A regular user. 

By creating an ecosystem player account (the “Account”) you declare that you are at least eighteen (18) years old. If you do not accept the Terms of Use, please do not use the Website. We reserve the right, at its sole discretion, to change the Terms of Use at any time. We will notify you by email or by providing you with a new version of the Terms of Use if we make any changes that materially alter your rights. Your continued use of the Website following the posting of changes will mean that you accept and agree to the changes. We draw your attention to the limitation of liability contained in clause 6 of the Terms of Use.

1. USE OF THE WEBSITE

 

1.1 Registration Process: 

To create an Account, you must: 

  • select the type of ecosystem player to create your Account; 
  • fill in the form with the following data: first name, last name, e-mail address etc.; 
  • create a strong password to access your Account. 

1.2 Website function  

1.2.1 If you wish to use the Website without creating an Account, you have access to the following functionality on the Website: 

  • view 5 startup cards in the startup database; 
  • view ecosystem map 
  • view guides, download document templates and use the links to books and other useful links in the “Knowledge Database” section; 
  • read the blog, publications in the “News & Media” section. 

1.2.2 When you register an account on the Website, you automatically become a regular user after the verification by moderators. As a regular user you have access to the following functionality of the Website: 

  • view an unlimited number of startup cards in the startup database; 
  • view ecosystem map 
  • read and write posts on the forums and discussion sections and create new discussions in the “Forum” section; 
  • view guides, download document templates and use the links to books and other useful links in the “Knowledge Database” section; 
  • read the blog, publications in the “News & Media” section. 

1.2.3 If you have specified Startup / Investor as your ecosystem player type when creating your Account, then the Website moderator conducts your verification and after verification you are assigned the appropriate ecosystem player type. All registered users can also be assigned a Sponsor role. As one of the above-mentioned ecosystem players, the following functionality is available to you on the Website: 

– as a startup: 

  • enter information into your startup card: company name, country of incorporation, year of company foundation, company description, contact details of company representatives; 
  • add, change, delete information in your startup card; 
  • add documents about the start-up to your start-up card; 
  • edit your startup’s investment readiness status; 
  • view an unlimited number of startup cards in the startup database; 
  • read and write posts on the forums and discussion sections; create new discussions in the “Forum” section; 
  •  read the blog, publications in the “News & Media” section; 
  • view guides, download document templates and use the links to books and other useful links in the “Knowledge Database” section. 

– as an investor: 

  • view an unlimited number of startup cards in the startup database; 
  • read and write posts on the forums and discussion sections; create new discussions in the “Forum” section; 
  • view guides, download document templates and use the links to books and other useful links in the “Knowledge Database” section; 
  • read the blog, publications in the “News & Media” section; 
  • view and download a Startup Pitch and other startup documents; 
  • view the startups’ “Looking for investment” indicator; 
  • view and leave messages in an exclusive hidden subsection in the “Forum” section. 

– as a sponsor: 

  • view an unlimited number of startup cards in the startup database; 
  • view an internal database of deals on startups; 
  • view and download a Startup Pitch and other startup documents; 
  • view special publications / receive newsletters with analysis of leading startups; 
  • access the contact details of startup founders (phone number); 
  • view startup indicators on their readiness for investment; 
  • download the startup database; 
  • read and write posts on the forums and discussion sections; create new discussions in the “Forum” section; 
  • view guides, download document templates and use the links to books and other useful links in the “Knowledge Database” section; 
  • read the blog, publications in the “News & Media” section; 
  • view and leave messages in an exclusive hidden subsection in the “Forum” section. 

 1.3. Prohibited Use. When using the Website, regardless of whether you use the Website by creating an Account or not, you are prohibited to: 

  • re-engineer, disassemble, decompile, decode, adapt or otherwise attempt to extract or access the source code of the Website, in whole or in part; 
  • access the Website, use any other information for the purpose of creating or reproducing the Website; 
  • copy and/or distribute the Website, in whole or in part; 
  • attempt to interfere with the operation of the Website, disrupt the provision of the Website to other users or otherwise attempt to harm the Website and (or) its users (DoS, DDoS-attack, etc.); 
  • offend other users, representatives of the Website administration; 
  • use profanity; 
  • post materials, images, containing offensive expressions, signs of discrimination on national, ethnic, racial or religious grounds; 
  • use the Website in any other way inconsistent with the law of the Republic of Belarus or the Terms of Use. 

 

2. DISCLAIMERS

 

THE WEBSITE AND ITS CONTENT ARE DELIVERED ON AN “AS-IS” BASIS WITH ANY WARRANTIES, REPRESENTATIONS OR CONDITIONS OF ANY KIND.  

WE MAKE NO WARRANTY THAT THE SITE: (A) WILL MEET YOUR REQUIREMENTS; (B) WILL BE TIMELY AVAILABLE, UNINTERRUPTED, SECURE OR ERROR-FREE; OR (C) WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL OR SECURE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US OR ELSEWHERE WILL CREATE ANY WARRANTY NOT EXPRESSLY SET OUT IN THE TERMS OF USE. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE WEBSITE. 

THE WEBSITE MAY CONTAIN LINKS TO THIRD-PARTY WEBSITES, SPECIAL OFFERS, EVENTS, WHICH ARE NOT OWNED AND CONTROLLED BY US. WE ARE NOT RESPONSIBLE FOR THOSE THIRD-PARTY WEBSITES, SPECIAL OFFERS AND EVENTS. IF YOU FOLLOW A LINK FROM OUR SITE TO A THIRD-PARTY SITE, YOU DO SO AT YOUR OWN RISK, AND YOU UNDERSTAND THAT THE TERMS OF USE AND THE PERSONAL DATA PROCESSING POLICY DO NOT APPLY TO YOUR USE OF SUCH THIRD-PARTY WEBSITES. 3. EXEMPTION FROM LIABILITY

 

You agree to protect us and our authorized persons, directors, employees, agents, partners, licensors, successors from any claims of third parties arising from or in any way related to your violation of the Terms of Use or your use of the Website in violation of applicable laws, rules or regulations, including any liability or expenses, arising as a result of all claims, losses, damages (actual and indirect), lawsuits, legal costs and lawyers’ fees of any kind and nature.  

 

4. INTELLECTUAL PROPERTY 

 

4.1. Right to The Website. We own all rights to the Website (including all changes and additions to the Website, any versions thereof), its parts and components, including databases, and other intellectual property, except as expressly provided in this document. 

4.2. Trademark Rights. All trademarks, service marks, and trade names belong to us. You do not acquire the right to use any trademarks, service marks or trade names when you use the Website. 

4.3. Terms of License. Subject to your compliance with this User Agreement, we grant you a non-exclusive, non-sublicensable license to use the Website anywhere in the world for your non-commercial use (the “License”). 

4.4. Copyright. We acknowledge and agree that you may own a copyright in the content that you upload to the Website. 

 

5. TERMS OF LICENSE

 

5.1. Term. Your license is valid from the moment you agree to the Terms of Use and will remain in force until its termination, as indicated below. 

5.2. Termination of the License at your wish. You can terminate the License by deleting your Account. You understand that any termination of the License may result in the removal of your user content. We do not bear any responsibility to you for any circumstances related to the termination of your License, including the removal of your user content. 

5.3. Termination of the License at our option. We may terminate or suspend your License immediately in the following cases: 

  • We have reasonable grounds to believe that you are violating the Terms of Use or our Personal Data Processing Policy or the legislation of the Republic of Belarus (without prior notice to you); 
  • For any other reason (with or without notice). 

 

6. LIMITATION OF LIABILITY

 

6.1. Limitation. You clearly understand and agree that we are not liable to you for any direct or indirect damages incurred by you, including but not limited to any loss of profit (whether direct or indirect), any damage to business reputation, any loss of data or other damages. The above limitations of our liability apply regardless of whether we have been notified or should have been aware of the possibility of such damages. 

6.2. Force Majeure. Under no circumstances will we be liable for any disruptions or delays when such disruptions or delays are caused by any circumstances beyond our reasonable control, including natural disasters, floods, fires, earthquakes or explosions, war, terrorism, invasion, riot or other civil unrest, embargoes or blockades, national or regional emergencies, deterioration of the Internet connection, strikes, as well as the entry into force of laws, legislative acts and government regulations, including the imposition of embargoes, other restrictions or prohibitions, or any complete or partial government shutdown, or national or regional shortage of sufficient electricity, telecommunications (including deterioration of the Internet connection) or transportation. 

 

7. APPLICABLE LAW AND DISPUTE RESOLUTION

 

7.1. Applicable Law. All issues not covered by the Terms of Use are regulated by the legislation of the Republic of Belarus.  

7.2. Dispute resolution. The Parties strive to resolve all disputes and disagreements that may arise in connection with the execution, termination or invalidation of the Terms of Use through written negotiations. The party who has a complaint sends an e-mail to the other party describing the complaint. If the claim has not been resolved through written negotiations, such a dispute is subject to resolution in the competent court of the Republic of Belarus.

8.2. Validity of conditions of the Terms of Use. If any provision of the Terms of Use is declared invalid or unenforceable for any reason, the other provisions of the Terms of Use remain in full force and the invalid or unenforceable provision will be considered amended so that it is valid and enforceable to the maximum extent permitted by law. 

8.3. Waiver of Rights. Our failure to exercise or enforce any right or provision of the Terms of Use will not constitute a waiver of such right or provision. 

8.4. Interpretation. The titles of clauses in the Terms of Use are provided solely for convenience and have no legal or contractual force. The word “including” means “including, but not limited to”.
